SOFTWARE LICENSE AGREEMENT
For Software Development Kit (SDK)
of Zeon DocuCom PDF Driver

NOTICE TO USER: THIS IS A LEGAL CONTRACT BETWEEN YOU AND ZEON CORPORATION. YOU SHOULD CAREFULLY READ AND ACCEPT ALL THE TERMS AND CONDITIONS SET FORTH IN THIS DOCUMENT BEFORE USING ALL OR ANY PORTION OF THIS SOFTWARE. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS LICENSE AND ALSO AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU.

Zeon Corporation and its suppliers own all intellectual property in the Software. Upon your acceptance of this Agreement and as long as you comply with the terms and conditions of this Agreement, Zeon grants to you the purchased number of licenses and right to install this Software product in the Developer host Application for develo pin g purpose only with the permitted numbers of computers set forth above.

DEFINITIONS:

a. "The Software" means the DocuCom PDF Reader OCX software product and related documentation, including all updates.

b. "Developer," "You," and "Your" refer to any person or entity using this Software, or any component thereof.

c. "Developer Product" means your application programs that are designed to function and incorporate with Zeon DocuCom PDF Reader OCX Software products.

d. "Documentation" means explanatory materials supplied with the Software or made available online on Zeon Web pages related to the Software.

e. "Client Applicationˇ± means use of the DocuCom PDF Reader OCX on a computer such that all of the following conditions are met:

i. End User interaction is required to operate the DocuCom PDF Reader OCX software.

ii. There is a one-to-one (1:1) relationship between the End User and the DocuCom PDF Reader OCX software.

f. "End User" means a licensee of software products who acquires such products for use rather than distribution or resale.

g. "Sample Code" means sample software in source code format designated in the Documentation as "Sample Code" and/or "Snippets."

h. "Redistributable Code" means certain object code files designated in the Documentation as "Redistributable Code."

LICENSE OF SOFTWARE

Subject to the terms and conditions of this Software License Agreement (this "Agreement"), as longer as you, the Developer, shall comply with followings:

a. Dis t ribu t ing objec t codes ¨C ˇ°Redis t ribu t able Codeˇ±, for in house develo pin g purpose only, no t used for dis t ribu t ing of Developer Produc t . Ano t her OEM agreemen t mus t be required for run t im e dis t ribu t ion of Reader OCX.

b. Including a copyrigh t no t ice reflec t ing t he copyrigh t ownership of The Sof t ware in such Developer Produc t .

c. Being solely responsible t o your cus t omers for any upda t e or suppor t obliga t ion or o t her liabili t y which may arise from fu t ure possible OEM Licensing,

d. No t using Zeon's name or t rademarks t o marke t your Developer Produc t wi t hou t wri t t en permission of Zeon. You can freely modify t he Sample Code provided in t he SDK package. However you should never modify t he Redis t ribu t able Code.

e. Only making a purchased number of copies of t he Sof t ware package and Documen t a t ion t o be used by your employees or consul t an t s for in t ernal developmen t purposes and no t for general business purposes or for dis t ribu t ion by any means, and such employees or consul t an t s shall be subjec t t o t his Agreemen t . Fur t her developer suppor t , sof t ware licensing, t rademark licensing and t rademark usage informa t ion is available by con t ac t ing Zeon represen t a t ive.

Wi t h your compliance of above, Zeon gran t s you a non-exclusive, non t ransferable license t o:

a. Use t he purchased number of copy(s) SDK Licenses of t he Sof t ware for t he sole purpose of in t ernally develo pin g t he Developer Produc t and have no any righ t for sub-license or re-dis t ribu t ion of t he SDK edi t ion as a whole or par t of i t .

b. Reproduce and modify Sample Code included in t he SDK package as a componen t of Developer Produc t t ha t mus t add significan t and pr im ary func t ionali t y t o t he Sample Code only for t he developmen t purpose on your applica t ion, Developer mus t sign a separa t e OEM con t rac t wi t h Zeon for any sub-license or re-dis t ribu t ion of any Reader OCX componen t s.

RESTRICTIONS

a. General Res t ric t ions. Excep t for t he l im i t ed righ t s as provided in above wi t h respec t t o Sample Code and Redis t ribu t able Code, You may no t dis t ribu t e, sell, sublicense, ren t , loan, or lease t he Sof t ware, and/or any componen t t hereof t o any t hird par t y. You agree no t t o reverse engineer, decompile, disassemble or o t herwise a t t emp t t o discover t he source code of t he Sof t ware and/or any componen t t hereof.

b. Development Restrictions. You agree that you will not use the Software to create, develop or use any program, software or service which enables the Software to run on a server or modifies the permissions or rights in a PDF file enabled using Zeon technology.

c. Limitations on Dynamic Library. Developer agrees not to use the Dynamic Library for any Server Application of the DocuCom PDF Reader OCX.

COPYRIGHT

The Software is owned by Zeon Corporation and/or its suppliers, and is protected by copyright laws of the Republic of China and related applicable laws. You may not copy the Software except as set forth in the "License" section. Any copies that you are permitted to make pursuant to this Agreement must contain the same copyright and other proprietary notices that appear on or in the Software. You may not rent, lease, sub-license, transfer, or sell the Software. You may not modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software, except to the extent such foregoing restriction is expressly prohibited by applicable law. You may use the trademarks to identify the Software owner's name, or to identify printed output produced by the Software. Such use of any trademark does not give you any rights of ownership in that trademark.

REGISTRATION

You may be required to register your copy of the Software to obtain the product update notices, supporting services and upgrade information. This registration obligation is further described in the SOFTWARE PRODUCT documentation.

LICENSED SOFTWARE (S) - "AS IS"

The Software is provided AS IS. ZEON AND ITS SUPPLIERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO MERCHANTABLE QUALITY, NONINFRINGEMENT OF THIRD PARTY RIGHTS, FITNESS FOR A PARTICULAR PURPOSE, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE. THE ENTIRE RISK AS TO THE QUALITY, RESULTS BY USING THE SOFTWARE, AND PERFORMANCE OF THE SOFTWARE (S) IS WITH THE END USER.

LIMITED WARRANTY

Zeon Corporation warrants that the media containing the Software, if provided by Zeon Corporation, is free from defects in material and workmanship under normal use for a period of ninety (90) days from the date of delivery as evidenced by a copy of the receipt. Zeon Corporation sole liability for any breach of this warranty shall be to replace your defective media. Any media not meeting Zeon Corporation Limited Warranty must be returned to Zeon Corporation by prepaid post with a copy of the receipt. Replaced Software shall be covered by this limited warranty for the period remaining under the warranty that covered the original Software, or if longer, for thirty (30) days after the date of shipment to you of the replaced Software.

LIMITATION OF REMEDIES AND LIABILITY

Your exclusive remedy against Zeon Corporation and the entire liability of Zeon Corporation, even in the case of fundamental breach, is limited to replacement or refund in accordance with the above Limited Warranty. ZEON CORPORATION OR ITS SUPPLIERS OR RESELLERS SHALL NOT UNDER ANY CIRCUMSTANCE BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ZEON CORPORATION SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

GENERAL

This Agreement shall be construed, interpreted, and governed by the laws of the Republic of China, excluding the application of its conflicts of law rules. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the rest of the Agreement, which shall remain valid and enforceable according to its terms. You may not ship, transfer, or export the Software into any country or used in any manner prohibited by any export laws, restrictions or regulations.

ENTIRE AGREEMENT

You acknowledge that you have read this Agreement, understand it and agree to be bounded by its terms and conditions. It is the complete and exclusive statement of the Agreement between us which supersedes any proposal or prior agreement, oral or written, and other communication between us relating to the subject matter of this Agreement.

RESERVATION OF RIGHTS

All rights not expressly granted in this Agreement are reserved by Zeon Corporation.
